RESERVE RESEARCH — AFFILIATE PARTNER AGREEMENT

This Independent Contractor & Payment Agreement (“Agreement”) is entered into between Reserve Research (“Company”) and the undersigned affiliate (“Affiliate”) as of the date of electronic signature below.

1. Independent Contractor Status. Affiliate acknowledges that they are an independent contractor and not an employee, agent, partner, or joint venture of the Company. Affiliate is solely responsible for all federal, state, and local taxes on compensation received. The Company will not withhold taxes, provide benefits, or issue W-2 forms. A 1099-NEC will be issued where required by law.
2. Scope of Participation. Affiliate agrees to promote the Company's products via approved referral links and promotional support as mutually agreed. No minimum performance level is required. The Company reserves the right to modify, pause, or discontinue the affiliate program at any time with reasonable notice.
3. Commission & Payment Terms. Affiliate will earn commissions at the rate assigned by the Company for each qualifying order placed within 6 months of a referred customer’s registration. Commissions are calculated on the net order subtotal, excluding taxes and shipping. Payments are issued monthly, subject to a minimum threshold of $50. The Company reserves the right to reverse or withhold commissions on fraudulent, cancelled, or refunded orders.
4. No Guarantee of Earnings. The Company makes no representation or guarantee of any specific income level. Actual earnings will vary based on Affiliate’s individual efforts and referral activity.
5. Limitation of Liability. To the fullest extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising from participation in this program. Affiliate’s sole remedy for dissatisfaction is to cease participation. Total liability of the Company shall not exceed the total commissions paid to Affiliate in the 90 days preceding any claim.
6. No Endorsement of Medical Claims. Affiliate agrees not to make any medical, therapeutic, or health claims regarding Company products in any promotional material. All products are sold for research purposes only. Any promotional content must include the disclaimer: “For research use only. Not for human consumption.”
7. Confidentiality. Affiliate agrees to keep confidential all non-public information shared by the Company, including but not limited to pricing structures, commission rates, customer data, and business strategies.
8. Term & Termination. This Agreement begins on the date of acceptance and continues until terminated by either party with 30 days written notice, or immediately upon material breach. Upon termination, accrued commissions on completed orders will be paid at the next monthly cycle.
9. Governing Law. This Agreement shall be governed by the laws of the State of California. Any disputes shall be resolved through binding arbitration seated in Los Angeles County, California, in accordance with the AAA Commercial Arbitration Rules.
10. Electronic Signature. Affiliate agrees that typing their full legal name in the signature field below constitutes a legally binding electronic signature under the E-SIGN Act and UETA, and that this Agreement is fully enforceable as if executed in writing.

By signing below, Affiliate confirms they have read, understood, and agree to be bound by the terms of this Agreement.
